1. Acceptance of Terms

Welcome to FindMyCare, a digital health facility directory operated by Quorum AI Limited ("we," "us," or "our"). By accessing or using the FindMyCare website, mobile application, or any associated services (collectively, the "Platform"), you confirm that you are at least 18 years of age (or the age of majority in your jurisdiction) and that you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you must not access or use the Platform.

These Terms constitute a legally binding agreement between you and Quorum AI Limited. Please read them carefully.

3. User Accounts and Responsibilities

To access certain features, such as the "Report and Earn" program, you must register for an account.

• Accuracy of Information — You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate.
• Account Security — You are responsible for safeguarding your password and for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account.
• Prohibited Conduct — You agree not to:
  • Submit false, misleading, or malicious reports regarding any healthcare facility.
  • Attempt to manipulate, defraud, or game the "Report and Earn" reward system.
  • Upload photos that intentionally capture the faces of patients, medical staff, or sensitive medical procedures.
  • Use the Platform for any illegal purpose or in violation of any local, state, or federal law.

4. The "Report and Earn" Program

FindMyCare offers a crowdsourced verification program where users can earn rewards (such as mobile airtime) for submitting accurate updates or photos of healthcare facilities.

• Verification — All submissions are subject to review by our team. Rewards are only disbursed for submissions that are verified as accurate and useful.
• Discretion— We reserve the right to reject any submission, withhold rewards for suspected fraud, or terminate a user's participation in the program at our sole discretion.
• Intellectual Property — By uploading photos, data, or other content to the Platform, you grant Quorum AI Limited a perpetual, irrevocable, worldwide, royalty-free, sublicensable, and transferable license to use, reproduce, modify, adapt, publish, and display that content in connection with the Platform and our services. You represent and warrant that you own or have all necessary rights to the content you submit and that it does not infringe the rights of any third party.

5. Healthcare Provider Profiles

Healthcare providers may claim and manage their facility profiles on the Platform.

• Verification — Providers must submit valid regulatory credentials (e.g., MDCN or PCN registration numbers) to claim a profile. We reserve the right to verify these credentials with the respective regulatory bodies.
• Accuracy — Providers are solely responsible for the accuracy of the information on their profiles, including operating hours and available services.
• Premium Services — Certain profile features may require a paid subscription. The terms of such subscriptions will be provided at the point of purchase.

6. Limitation of Liability

To the maximum extent permitted by applicable Nigerian law, Quorum AI Limited, together with its directors, officers, employees, and agents, shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or any loss of profits, revenues, data, goodwill, or business opportunity, whether incurred directly or indirectly and whether arising in contract, tort (including negligence), or otherwise, resulting from:

• Your use of or inability to use the Platform.
• Any medical outcomes, injuries, or damages resulting from your visit to a facility listed on the Platform.
• Inaccuracies, errors, or omissions in the directory data, including instances where a facility is listed as open but is actually closed.
• Tax and Regulatory Compliance — While FindMyCare may offer inventory or operational tools to healthcare providers, Quorum AI Limited explicitly disclaims any liability regarding tax penalties or regulatory fines. We provide the software tool; the user (the healthcare provider or SME) remains solely and ultimately responsible for their own compliance with the Federal Inland Revenue Service (FIRS) and all other regulatory bodies.

In no event shall the total aggregate liability of Quorum AI Limited arising out of or relating to these Terms or your use of the Platform exceed the greater of (a) the total amount you paid to us, if any, in the twelve (12) months preceding the event giving rise to the claim, or (b) ten thousand Naira (₦10,000). Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable Nigerian law.

7. Disclaimer of Warranties

The Platform is provided on an "as is" and "as available" basis, without warranties of any kind, whether express, implied, or statutory. To the maximum extent permitted by applicable Nigerian law, we disclaim all warranties, including any implied warranties of merchantability, fitness for a particular purpose, accuracy, and non-infringement. We do not warrant that the Platform will be uninterrupted, secure, error-free, or that any directory information, verification status, or facility data is accurate, complete, or current.

8. Indemnification

You agree to indemnify, defend, and hold harmless Quorum AI Limited and its directors, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with: (a) your use of the Platform; (b) your violation of these Terms; (c) any content you submit, including reports and photographs; or (d) your violation of any law or the rights of any third party.

9. Suspension and Termination

We may suspend or terminate your access to all or part of the Platform at any time, with or without notice, if we reasonably believe that you have violated these Terms, engaged in fraudulent or unlawful conduct, or where required by law. You may stop using the Platform and close your account at any time. Upon termination, your right to use the Platform ceases immediately, but any provisions that by their nature should survive — including the license you grant in Section 4, and the disclaimers, limitation of liability, and indemnification provisions — shall survive.

10. General Provisions

• Entire Agreement — These Terms, together with the Privacy Policy and Consent Form, constitute the entire agreement between you and Quorum AI Limited regarding the Platform and supersede any prior agreements on the same subject matter.
• Severability — If any provision of these Terms is held to be invalid or unenforceable, that provision shall be limited or removed to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
• Waiver — Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.
• Assignment — You may not assign or transfer these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, reorganization, or sale of assets.
• Force Majeure — We shall not be liable for any failure or delay in performance resulting from causes beyond our reasonable control, including acts of God, network or power failures, governmental action, or civil unrest.

11. Data Protection and Privacy

Your privacy is critical to us. Our collection and use of personal data in connection with the Platform is governed by our Privacy Policy, which is drafted in strict compliance with the Nigeria Data Protection Act (NDPA) 2023. By using the Platform, you acknowledge that you have read the Privacy Policy.

Please note that consent for the processing of sensitive data (such as location and health-related search queries) is obtained separately via our granular Consent Form, and is not bundled with these Terms.

12. Modifications to the Terms

We reserve the right to modify these Terms at any time. If we make material changes, we will provide notice through the Platform or via email. Your continued use of the Platform after such notice constitutes your acceptance of the modified Terms.

13. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria. Any dispute arising out of or relating to these Terms or the Platform shall be subject to the exclusive jurisdiction of the courts located in Lagos State, Nigeria.
